The KINDER^® KALENDAR EASTER SWEEPSTAKES

OFFICIAL RULES

1. ELIGIBILITY: The Kinder® Kalendar Easter Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older have a valid e-mail account and own or have access to a “smart” mobile phone, as of the date of entry (“Eligible Entrants”). Employees, agents, directors and officers of Ferrero U.S.A., Inc. (the “Sponsor”), Berlin Productions, Inc. (the “Administrator”) and any of their respective parents, affiliates, subsidiaries, representatives and fulfillment, advertising, marketing and promotion agencies, and TPG Rewards, Inc. (collectively, the “Released Parties”), and each of their immediate family members (spouse, parent, child, sibling and their respective spouses), regardless of where they reside, and/or those living in the same household of each such employee/agent/director/officer (whether related or not) are not eligible to enter or win. Void in Puerto Rico and where prohibited or restricted by law. The Promotion is subject to all applicable federal, state and local laws and regulations. Sponsor’s server will be the official timekeeper for the Promotion.

2. PROMOTION PERIOD : The Promotion begins on March 29, 2022 at 12:00:00 am eastern time (“ET”) and ends on April 17, 2022 at 11:59:59 pm ET (“Promotion Period”).

3. HOW TO ENTER: During the Promotion Period, Eligible Entrants (each an “Entrant”) may enter the Promotion by visiting www.kinderjoykalendar.com (“Website”), Each day for 20 consecutive days entrants will be prompted to “open” the daily (virtual) Kinder Easter egg for a chance to receive a winning message. Once the Kinder Easter egg is opened, if a winning message is revealed, entrant will be prompted to input his/her email, successfully complete a CAPTCHA, and confirm compliance with these Official Rules. (If the Kinder Easter egg is opened and a winning message is NOT revealed, entrant will be advised accordingly.) It is the potential winning Entrant’s sole responsibility to provide his/her correct email address and to confirm his/her compliance with these Official Rules in order to be awarded the prize. Entrants may enter (i.e., open the Kinder Easter egg for a chance to win a prize) once per day (12:00:00 a.m. ET – 11:59:59 p.m. ET).

If entering using a mobile device, entry may require data usage or incur data usage charge. Check your mobile plan for rates/details. Wireless access may not be available in all areas.

By entering the Promotion, Entrant is confirming compliance with the Official Rules, and if selected as a potential winner of prize(s), Entrant acknowledges that the prize(s) must be accepted as awarded, without substitution, and releasing the Released Parties from any liability in connection with the prize(s) or this Promotion.

Limit one (1) entry per person and/or per email address per day during Promotion Period. If it is determined that an Entrant has entered in a fashion not sanctioned by these Official Rules, the Entrant will be disqualified and all of the entries submitted by the Entrant will be void and Sponsor reserves the right to require such Entrant to return any Prize(s) (or the value of same) that he/she was previously awarded in the Promotion. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. Should multiple users of the same e-mail account enter the Promotion and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said email account at the time of entry will be considered the entrant. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address.

4. PRIZES: There will be five thousand seven hundred and twenty five (5,725) reward values (herein referred to individually as a “Prize” and collectively as “Prizes”) available to be won consisting of seven (7) BARCODE BUCK$* values (see chart below):

BARCODE BUCK$ are redeemable by the prize winner on the purchase of the corresponding Kinder Reward product. The redemption of BARCODE BUCK$ is subject to the terms and conditions of use of TPG Rewards, Inc. in its capacity as issuer of same. Without limitation:

• All BARCODE BUCK$ expire at close of business on May 17, 2022.
• BARCODE BUCK$ may only be redeemed in-store at national retail stores, (network of participating retailers will be provided on the BARCODE BUCK$ mobile reward) BARCODE BUCK$ CANNOT be redeemed on-line or otherwise.
• To redeem BARCODE BUCK$, a “smart” mobile phone is required which may result in the imposition of data usage charges.
• BARCODE BUCK$ must be presented at time of check-out with corresponding Kinder Reward product and is not valid on past purchases.
• The redemption of BARCODE BUCK$ cannot be combined with any other offers/promotions/discounts.
• BARCODE BUCK$ are NOT gift cards.
• Each BARCODE BUCK$ is valid only for one-time use.
• Should an Entrant win multiple BARCODE BUCK$, only one (1) BARCODE BUCK$ may be redeemed in a given transaction.

TOTAL ARV OF ALL PRIZES: $21,543.25

Prizes must be accepted as awarded without substitution, are not transferable, not for resale and not convertible to cash. In the event a Prize cannot be awarded as described for any reason, Sponsor reserves the right to substitute a Prize of equal or greater value without liability.

*BARCODE BUCK$ is a trademark of TPG Rewards, Inc.

5. SEEDING OF PRIZES AND THE ODDS OF WINNING: The odds of winning a Prize will depend on the number of entries and when a given entry is recorded by the Promotion computer (Sponsor’s server). At the beginning of the Promotion Period, there are five thousand seven hundred and twenty-five (5,725) Prizes available as per the chart in Rule 4 above. Unclaimed or forfeited prizes will NOT be awarded. Using a computer algorithm, Sponsor/Administrator will randomly pre-select a series of winning times during the Promotion Period, each of which is associated with a single, randomly pre-selected Prize. The time at which an entry is recorded by the Promotion computer (i.e., when a given Entrant opens the Kinder Easter egg) will determine whether an eligible person is a potential winner of a Prize (as well as the specific Prize potentially won). Subject to the provisions of these Official Rules, the first Entrant who completes an entry(i.e., opens the Kinder Easter egg) at or after a randomly pre-selected winning time is the potential winner of the corresponding Prize, notification of which will be delivered following Entrant’s entry.

No prize substitution, except by Sponsor who reserves the right to substitute a prize of comparable or greater value, at its sole discretion. All federal, state, and local taxes on prizes are the sole responsibility of winners. There is a limit of twenty (20) Prizes per person and/or e-mail address. All costs and expenses not specified herein as being awarded are the sole responsibility of winner, including travel to/from national retail store to redeem BARCODE BUCK$ for corresponding Kinder Reward product. In the event that total value of prize(s) won is subject to taxes, winner will be issued a 1099 Tax Form for the value of the prize(s) and agrees to cooperate with Sponsor and its agencies relative to issuance of same.

6. PRIZE NOTIFICATION/REDEMPTION: Prize notification will be delivered via email. Prize message will originate from the email address noreply@kinderjoykalendar.com within 48 hours of winning prize message. Prize message may get delivered to entrant’s spam and/or junk folder. IT IS THE ENTRANT’S SOLE RESPONSIBILTY TO CHECK HIS/HER SPAM/JUNK FOLDER FOR THE PRIZE MESSAGE. 7. PRIZE RESTRICTIONS: In no event will more than the stated number of prizes be awarded. If the number of valid prize claims for a given prize category exceed the number of prizes for such prize category, Sponsor/Administrator will award only the indicated number of prizes for such category previously not awarded by means of a random drawing consisting of all valid prize claims from eligible persons for such category. Sponsor/Administrator are not responsible for any change of e-mail address of Entrants.

8. LIMITATION OF LIABILITY: No liability or responsibility is assumed by Sponsor, or the other Released Parties resulting from Entrant's participation in or attempt to participate in the Promotion, or ability or inability to upload or download any information in connection with the Promotion. No responsibility or liability is assumed by Sponsor or the other Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotion: (a) hardware or software errors; (b) faulty computer, cable, satellite, network, cellular, electronic, Internet connectivity or other online or network communication problems; (c) errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; (d) garbled, jumbled or faulty data transmissions; (e) failure of any online transmissions to be sent or received; (f) lost, late, delayed or intercepted transmissions; (g) inaccessibility of the Website in whole or in part for any reason; (h) traffic congestion on the Internet or the Website; (i) unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; (j) error, omission, interruption, deletion, defect, theft or destruction of, unauthorized access to the Website, delay in operation, transmission, distribution of, alteration of entry, whether caused by the Entrant, or otherwise; (k) any of the equipment or programming associated with or utilized in this Promotion, or otherwise; or (l) destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of an e-mail account used in connection with the Promotion. The Released Parties are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Promotion, the uploading, the processing of Entries, the announcement of the prizes, the claiming or redemption of Prizes, or any Promotion-related materials. Use of Website is at user’s own risk. The Released Parties are not responsible for any personal injury, death or property damage or losses of any kind which may be sustained to Entrant’s, or any other person's computer or mobile phone resulting from participation in the Promotion. Sponsor is not responsible for any human error that may occur in the processing of the Promotion.

9. GENERAL TERMS: By entering, each Entrant agrees (and agrees to confirm in writing) (a) that Sponsor and its designees shall have the right and permission to use in any manner (unless prohibited by law) Entrant's name, city and state of residence, for advertising and/or trade and/or promotion and/or any other purpose now or hereafter known anywhere in the world in perpetuity without compensation, permission or notification to Entrant or any third parties, except where prohibited by law; (b) to release the Released Parties from all liability and to indemnify, defend and hold harmless the Released Parties from and against any claim, action, liability, loss, injury or damage to Entrant or any other person or entity, or personal injury or death to Entrant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of (i) the acceptance, possession, use or misuse of a prize; (ii) participation in or administration of this Promotion; (iii) the exploitation of any of the rights granted herein; and (iv) any element of this Promotion; (c) to assume all liability for any injury or damage related to (a) (i)-(iv); (d) to be bound by the Terms (including, without limitation, of the Official Rules and the decisions of the Sponsor/Administrator which are final); (e) to waive all rights to claim or collect punitive, incidental, consequential or any other damages (to the fullest extent permitted by law); (f) that all causes of action relating to this Promotion will be resolved individually without resort to any form of class action; (g) that any and all claims, judgments, or awards shall be limited to actual out of pocket costs incurred, excluding attorneys' fees; and (h) that New York internal, substantive law (i.e., without regard to conflict of law/choice of law rules) shall apply exclusively to the Promotion, without regard to its conflicts of law principles, and that any dispute with respect to the Promotion shall be resolved in either the federal or state courts located in the County of New York, State of New York and that Entrant expressly agrees to the personal jurisdiction of such courts and waives any right of change of venue, forum non conveniens or the like.

Sponsor reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Promotion if fraud, technical failures or errors, viruses, bugs, unauthorized human intervention or any or other similar causes or factors beyond Sponsor's reasonable control corrupts, impairs or compromises the administration, security, integrity or fairness of the Promotion (or portions thereof), as determined by Sponsor in its sole discretion. Should the Promotion be cancelled or terminated for any of the aforementioned reasons, Sponsor shall have the right to proceed (including making the prizes available to be won) in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. In the event the Promotion is cancelled or terminated, notice will be posted online at the Website. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials, including without limitation, the Website, and the Official Rules, the Official Rules shall prevail, govern and control.

Any damage made to any Promotion-related website will be the responsibility of the authorized e-mail account holder of the e-mail account associated with the damage in question. Any Entries (an entry/submission /prize claims) suspected of being fraudulent (including those using robotic, automatic, programmed, or similar methods of participation) may be disqualified, based on determinations made solely by Sponsor and Administrator. Sponsor/Administrator reserve the right, in their sole discretion, to prohibit the participation of or disqualify an individual if fraud or tampering is suspected in connection with the Entry, the operation of the Promotion or the submission of a Prize claim, if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules, if an individual is acting in violation of these Official Rules or is acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. If Sponsor suspects that an Entrant attempted to obtain entry by using multiple e-mail addresses, IP addresses, registrations, identities or any other method in a manner which attempted to defraud Sponsor or Administrator, all suspect Entries (an entry/submission /prize claims) submitted by the Entrant may be declared null and void and Sponsor reserves the right to require such Entrant to return any Prize(s) (or the value of same) that he/she was previously awarded in the Promotion.

NOTICE TO ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY PROMOTION-RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

10. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES: IN NO EVENT WILL THE RELEASED PARTIES AND/OR THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, PARTNERS, REPRESENTATIVES, AGENTS, SUCCESSORS, ASSIGNS, EMPLOYEES, OFFICERS AND DIRECTORS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE PROMOTION, ACCESS TO AND USE OF WWW.KINDERJOYKALENDAR.COM , AND/OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATED WITH THE PROMOTION. THIS PROMOTION AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND FROM SPONSOR, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

11. USE OF DATA: Sponsor will be collecting personal data about Entrants online, in accordance with its Privacy Policy. Please review Sponsor’s Privacy Policy at https://www.ferreronorthamerica.com/privacy-policy-us ) . By participating in the Promotion, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy. If you are selected as a winner, your information may also be included in a publicly available winners’ list.

REQUEST FOR WINNER’S NAMES: For the winners list (available after May 16, 2022, send a self-addressed stamped (#10) envelope to: Kinder® Kalendar Easter Sweepstakes, c/o Berlin Productions, 870 Locke Ln Yorktown Heights, NY 10598. Requests received after July 3, 2022 will not be honored. Winners list will only include partial e-mail address of each prize winner.
